The short version. Closingbird helps you run real estate transactions: it reads contracts, tracks deadlines, collects documents and signatures, and keeps everyone informed. You stay the professional in charge. Closingbird is a tool, not a broker, lawyer or escrow agent, and you must check every date it suggests against the contract. Your files are yours, and you can export them at any time.
1. Who we are and accepting these terms
Closingbird is operated by Scalry Inc, a company registered in the State of Wyoming, United States, at 30 N Gould St Ste N, Sheridan, WY 82801, United States ("we", "us", "our").
These terms are an agreement between us and the person or organization that creates a Closingbird account ("you"). If you accept them for a company or brokerage, you confirm you're authorized to bind it. If you don't agree, don't use Closingbird.
2. What Closingbird does
Closingbird is software for coordinating real estate transactions. Depending on your plan, it lets you:
- open transactions, including by uploading a contract that Closingbird reads to suggest dates, parties and deadlines;
- track deadlines, checklists and required documents, with reminders;
- send emails and text messages to the people on a transaction, and receive their replies;
- collect documents through upload links and new deals through intake links;
- send documents for electronic signature;
- share a read-only status page with clients and other parties;
- track commission and issue invoices; and
- ask an AI assistant questions about your transactions.
We may improve, change or retire features over time. If we remove something material from a paid plan, we'll tell you in advance.
3. Closingbird is a tool, not professional advice
Closingbird doesn't give legal, real estate, tax or financial advice, and it doesn't act as a broker, agent, attorney, escrow or title company, or fiduciary for anyone. Contract interpretation, deadline calculations, disclosures, compliance with your brokerage's rules and with real estate law, and every decision on a transaction remain your responsibility and that of the licensed professionals involved.
4. AI features and deadline accuracy
Some features use artificial intelligence, including reading contracts to suggest dates, parties and deadlines, drafting follow-up messages, and answering questions. AI output can be incomplete or wrong. For example, it can misread a date, miss an addendum, or calculate a period in calendar days when the contract says business days.
- You must check every date, deadline, party and amount Closingbird suggests against the signed contract and any amendments before relying on it.
- Reminders, overdue flags and "on track" indicators help you stay organized. They don't guarantee a deadline has been captured correctly or met.
- Review AI-drafted messages before you send them. Closingbird doesn't send AI drafts on its own.
To the extent the law allows, we're not liable for a missed or miscalculated deadline, or for any loss that follows from one, including a lost earnest money deposit, contingency or transaction.
5. Accounts, workspaces and your team
You need an account to use Closingbird. Keep your login details secure and tell us promptly if you suspect unauthorized access. You're responsible for activity under your account.
A workspace owner can invite coordinators, agents and admins, and choose what each role can see. The owner is responsible for who they invite, for removing people who should no longer have access, and for their team's compliance with these terms.
6. Plans, trials and billing
Paid plans are billed in advance, monthly or annually, and renew automatically until cancelled. Plans set limits, such as the number of active transactions, team members and text messages per month. If you reach a limit, some actions pause until you upgrade, close a transaction or a new month begins. Existing data isn't deleted.
Trials, renewals, cancellation and refunds are covered by our Refund & Cancellation Policy, which forms part of these terms. Prices exclude taxes unless stated. We'll give you notice before a price change, and it takes effect at your next renewal.
7. Your data
What you put into Closingbird stays yours. That includes transaction details, documents, messages, contacts and signatures ("Customer Data"). You give us permission to host, copy, process and display Customer Data only to provide and support Closingbird, to keep it secure, and as required by law.
You can export your transactions as a spreadsheet, or download complete files, at any time from Records & exports. We don't sell Customer Data and don't use it for advertising. How we handle personal information is set out in our Privacy Policy.
People on your transactions
Customer Data often includes information about buyers, sellers, agents, lenders and other parties. For that information, you're the controller: you decide what's collected and why. We process it on your instructions as your service provider. You're responsible for having a lawful basis to collect and use it, and for giving any notices the law requires.
8. Email and text messages
When you send an email or text through Closingbird, including automatic reminders, follow-ups and deadline texts you switch on, you're the sender. You're responsible for its content and for complying with the laws that apply to it, including the Telephone Consumer Protection Act, CAN-SPAM, and state and carrier rules.
- Only text people who have given you their mobile number and agreed to hear from you about the transaction.
- Don't send marketing texts through Closingbird. Texting is for transaction communication.
- Closingbird honors STOP and other opt-out replies automatically. Don't try to get around an opt-out.
- Automatic texts are held to 9am-8pm in your time zone. That's a courtesy, not a guarantee of legal compliance for every recipient's time zone.
Message delivery depends on carriers and email providers, which may filter or delay messages. We may pause texting or email for an account to address complaints, carrier requirements or suspected misuse.
9. Electronic signatures
Closingbird lets you send documents for electronic signature and keeps an audit trail of who viewed and signed them, when, and from what IP address. Electronic signatures are generally valid under the U.S. ESIGN Act and state UETA laws, but some documents or jurisdictions have extra requirements. You're responsible for choosing the right signers, confirming their identity where it matters, and deciding whether a document may be signed electronically.
10. Links you share
Status pages, intake links and upload links work for anyone who has the link, with no login. Share them only with the intended people. You can revoke a status page or intake link at any time, and upload links stop working once a request is completed or cancelled.
11. Invoicing and payments
If you issue invoices through Closingbird, payments go to the payment account you connect, such as your own Stripe or PayPal account. We're not a party to your invoices and aren't responsible for collecting, refunding or disputing them. The payment provider's own terms apply to those payments.
12. Acceptable use
You must follow our Acceptable Use Policy, which forms part of these terms. Among other things, it forbids using Closingbird for wire fraud, forged signatures, unlawful discrimination, spam or unauthorized access.
13. Third-party services
If you connect another service, such as your Gmail or Outlook mailbox, your use of it is governed by that provider's terms. We access it only to deliver the feature you turned on, and you can disconnect it at any time. We're not responsible for third-party services or their availability.
14. Security and availability
We use reasonable technical and organizational measures to protect Customer Data, described in our Privacy Policy. We aim to keep Closingbird available at all times, but maintenance, outages and events outside our control can interrupt it. Keep your own copies of anything critical. Closingbird's exports exist for this.
15. Our intellectual property and feedback
We own Closingbird, including its software, design and content, other than Customer Data. These terms give you a limited, non-exclusive, non-transferable right to use it while your account is active. If you send us feedback or suggestions, we may use them without owing you anything.
16. Suspension and termination
You can close your account at any time. We may suspend or close an account that breaks these terms or the Acceptable Use Policy, that puts other people or Closingbird at risk, or whose fees are unpaid. Where it's reasonable, we'll warn you first and give you a chance to fix the problem.
After an account closes, you have 30 days to export your data, after which we delete Customer Data, apart from copies we must keep by law and routine backups that expire on their normal schedule.
17. Disclaimers
Apart from the commitments in these terms, Closingbird is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise that Closingbird will be error-free or uninterrupted, or that AI output will be accurate.
18. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, commissions or data, even if advised they were possible. Our total liability for all claims relating to Closingbird is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. These limits don't apply to liability that can't be limited by law, or to your payment obligations or indemnity.
19. Indemnity
You'll defend and indemnify us against third-party claims arising from your Customer Data, your messages, your transactions, or your breach of these terms or of the law, and cover the resulting costs and damages.
20. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, unless the law where you live requires otherwise. Before filing a claim, each party agrees to try to resolve it informally for 30 days.
21. Changes to these terms
We may update these terms. If a change is material, we'll give you at least 30 days' notice by email or in the app before it takes effect. If you keep using Closingbird after that, the new terms apply. If you don't agree, you can cancel before then.
22. General
These terms, with the policies they refer to, are the whole agreement between us about Closingbird. If a provision is unenforceable, the rest still applies. Not enforcing a provision isn't a waiver. You may not assign these terms without our consent. We may assign them in a merger, acquisition or sale of assets.
